These Terms of Use apply to this website, mobile applications, or online or mobile-enabled technology or digital tools (collectively, “Woodlawn Online Services”) that display or link to these Terms of Use. Woodlawn Health is referred to in these Terms of Use as “Woodlawn,” “We,” “Us,” or “Our.”
THE WOODLAWN ONLINE SERVICES ARE NOT INTENDED FOR USE IN THE EVENT OF A MEDICAL EMERGENCY. By accessing or using the Woodlawn Online Services, you agree that you have read, understand and agree to be bound by these Terms of Use, as amended from time to time. All amendments and updates to these Terms of Use are effective immediately upon notice, which we may give by any means, including but not limited to, posting notice of the revision on the Woodlawn Online Services homepage. You agree to review these Terms of Use periodically to ensure that you are aware of any modifications. Your continued access or use of these Terms of Use after the modifications have become effective shall be deemed your conclusive acceptance of the modified Terms of Use. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT ACCESS OR USE ANY PART OF THE WOODLAWN ONLINE SERVICES.
Woodlawn reserves the right to take whatever lawful actions it may deem appropriate in response to actual or suspected violation of these Terms of Use, including without limitation, suspending or terminating any account you have created on the Woodlawn Online Services.
Intellectual Property
All trademarks, logos, designs, slogans and trade dress appearing on the Woodlawn Online Services, whether or not appearing in large print, italics or with the trademark symbol, are owned by Woodlawn or their affiliate companies or service providers, or are used under license. No right or license is granted, by implication or otherwise, to use any trademark, service mark or logo displayed on the Woodlawn Online Services or any other intellectual property rights of Woodlawn or any third party.
You may not distribute, modify, transmit, reuse, repost or use the content of the Woodlawn Online Services for public or commercial purposes, including the text, images, audio or video, without the written permission of Woodlawn. You should assume that everything you see or read on the Woodlawn Online Services is copyrighted unless otherwise noted and may not be used, except as provided in the Terms of Use or in the text on the Woodlawn Online Services, without the written permission of Woodlawn. Woodlawn neither warrants nor represents that your use of materials displayed on the Woodlawn Online Services will not infringe rights of third parties not owned by, or affiliated with, Woodlawn.

Physician Information
You may be able to access physician information from the Woodlawn Online Services. However, although Woodlawn has obtained the information provided on the Woodlawn Online Services concerning physicians (including specialty, credentials and training) from sources believed to be reliable and accurate, Woodlawn can make no guarantee or warranty as to the accuracy, timeliness or completeness of that information.
Third-Party Information; Links to Other Sites
The Woodlawn Online Services may contain windows or hyperlinks which provide access to other websites not affiliated with the Woodlawn Online Services or with Woodlawn (“Third Party Websites”), or to informational content provided by the Third Party Websites. Your use of such Third Party Websites or informational content is subject to and governed by the terms and guidelines, if any, contained within such Third Party Website. Woodlawn is not liable for and does not endorse nor make any representations or warranties concerning any informational content, products, services, software, or other materials available on such Third Party Websites, even if a page or pages of the Third Party Website is framed within a page of the Woodlawn Online Services. Woodlawn is not responsible for the privacy practices or the content of Third Party Websites. For your protection, please refer to the terms of service and privacy policies of the respective Third Party Websites. You acknowledge, understand, and agree that Woodlawn shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such informational content, products, services, software, or other materials available on or provided by any Third Party Website. Vendors of certain products and services may contract with us to advertise their products and services on the Woodlawn Online Services. License; Use of Content
We hereby grant you the right to view and use the Woodlawn Online Services subject to the terms and conditions of these Terms of Use. The content is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You may only access and use the content for personal, non-commercial or educational purposes. You may not modify or use the content available through the Woodlawn Online Services and its associated websites for any other purpose without the express written consent of Woodlawn. Except as provided below, you may not modify, copy, reproduce, upload, republish, post, transmit or distribute in any way content available through the Woodlawn Online Services and its associated websites, including computer software and code. You may print content from the Woodlawn Online Services for personal, non-commercial or educational purposes only, and you must include any copyright notice originally included with the content in all copies.
Any computer software or code downloadable or otherwise available from the Woodlawn Online Services (including any data or images incorporated in or generated by the Woodlawn Online Services’ software) is a copyrighted work of Woodlawn and/or its suppliers. Use of the software is governed by the terms of the applicable license agreement, if any, which accompanies or is included with the software (“License Agreement”). You will be unable to install any software that is accompanied by or includes a License Agreement, unless you first agree to the License Agreement terms.
The software is made available for downloading solely for use by end users according to the License Agreement. Any reproduction or redistribution of the software not in accordance with the License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.
The content included on the Woodlawn Online Services has been compiled by Woodlawn from a variety of sources, and are subject to change without notice.
WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.
All media files on the Woodlawn Online Services are protected by copyright laws. You may not, under any circumstances, reproduce, record, publish, publicly exhibit, or distribute any media files (including, but not limited to, .ra or .rm files) made available for playback on the Woodlawn Online Services without Woodlawn’s express written consent. You may not link directly to any .ram file located on a Woodlawn server, and you should not attempt to “pass-off” any of Woodlawn’s content as your own work.
Privacy
Woodlawn’s use of your personal information and your responsibilities in connection with protecting your privacy are described in Woodlawn’s Privacy Policy, which is incorporated by reference into these Terms of Use.
Use of Information and Data
Woodlawn may use and disclose the information and data that you provide via the Woodlawn Online Services for purposes permitted by HIPAA, and as necessary to perform and improve the Woodlawn Online Services. You agree that Woodlawn may use and disclose performance and usage data for any purpose permitted by law so long as the data does not contain protected health information (as defined under HIPAA) or your identifiable information. Woodlawn may de-identify protected health information in accordance with the standards set forth in 45 C.F.R. 164.514(b) and may use or disclose such data unless prohibited by applicable law.

We use cookies for the Woodlawn Online Services. Some cookies are essential which allows us to provide certain features on the Woodlawn Online Services. Usage Rules; Access and Interference
You agree that you will not (i) use any robot, spider or other automatic device, process or means to access the Woodlawn Online Services, (ii) use any manual process to monitor or copy any of the material on this site or for any other unauthorized purpose without the prior written consent of Woodlawn, (iii) use any device, software or routine that interferes with the proper working of the Woodlawn Online Services, (iv) attempt to interfere with the proper working of the Woodlawn Online Services, (v) take any action that imposes an unreasonable or disproportionately large load on Woodlawn’s infrastructure, or (vi) access, reload or “refresh” transactional pages, or make any other request to transactional servers, more than once during any three (3) second intervals.
You agree that you will not use the Woodlawn Online Services in connection with criminal or civil violations of applicable provincial, state, federal or international laws, regulations or other government requirements, including theft or infringement of copyrights, trademarks, trade secrets or other types of intellectual property; fraud; forgery, theft or misappropriation of funds, credit cards or personal information; and threats of physical harm or harassment. Sending spam or other duplicative or unsolicited messages is an unacceptable use of the Woodlawn Online Services.
You may not permit any other person (other than an agent acting on your behalf and subject to your direct supervision) to access the Woodlawn Online Services using your account for any purpose.
You also agree that you will not use the Woodlawn Online Services: (i) to post or transmit any message or materials of a threatening nature, including threats of death or physical harm, harassment, libel or defamation; (ii) for the distribution of offensive materials, including obscene, indecent and hateful materials; or (iii) to disclose private or personal matters concerning any person other than yourself, including without limitation, content that you do not have a right to transmit under any law or under a contractual or fiduciary relationship.
You may not post or transmit any message, data, image or program that would violate the property rights of others, including unauthorized copyrighted text, images or programs, trade secrets or other confidential proprietary information, and trademarks or service marks used in an infringing fashion.
You agree that you will not use (or attempt to use) the Woodlawn Online Services to violate the security of a network, service or other system. Examples of prohibited activities include hacking, cracking into, monitoring or using systems without authorization; scanning ports; conducting denial of service attacks; and distributing viruses, worms, time bombs, Trojan horses, corrupted data, or any other contaminating features or harmful software. We reserve the right to deny you access to any part of the Woodlawn Online Services at Our sole discretion.
Review of Postings and Uploads
Woodlawn does not and cannot review all communications and materials posted or uploaded to the Woodlawn Online Services and is not responsible for the content of these communications and materials. However, Woodlawn reserves the right to block or remove communications or materials that it determines, in its sole discretion, to be (a) abusive, libelous, defamatory or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright or trademark, other intellectual property right of another, or (d) offensive or otherwise unacceptable to Woodlawn. ANY MESSAGES, ADVICE, OPINIONS OR OTHER INFORMATION CONTAINED IN ANY DISCUSSION AREA SHOULD NOT BE CONSTRUED AS PROFESSIONAL ADVICE OR INSTRUCTION REGARDLESS OF THE PERSON OR ENTITY OFFERING SUCH MESSAGES, ADVICE, OPINIONS OR OTHER INFORMATION.
Indemnification
You agree to indemnify, defend and hold harmless Woodlawn and its shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, suppliers, third party information providers, licensors, licensees, distributors, contractors and others involved in the Woodlawn Online Services or the delivery of products, services or information over the Woodlawn Online Services, from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorney’s fees, arising from any violation by you (or any other person accessing the Woodlawn Online Services using Your Account) of these Terms of Use or your use of any products, services or information obtained from the Woodlawn Online Services.
Waiver and Release
You agree that neither Woodlawn, nor its shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, suppliers, third party information providers, licensors, licensees, distributors, or contractors, shall have any liability to you under any theory of liability or indemnity in connection with your use of the Woodlawn Online Services. You hereby release and forever waive any and all claims you may have against Woodlawn, its shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, suppliers, third party information providers, licensors, licensees, distributors, or contractors (including but not limited to claims based upon the negligence of Woodlawn, its shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, suppliers, third party information providers, licensors, licensees, distributors, or contractors) for losses or damages you sustain in connection with your use of the Woodlawn Online Services. You expressly agree that use of the Woodlawn Online Services is at your own risk.
Registration
In order to access and use certain functions of the Woodlawn Online Services, you may be required to setup an user account (“Your Account”). In setting up and maintaining Your Account, you agree to provide accurate information regarding your identity, your contact information, and any other information requested by Woodlawn related to the Woodlawn Online Services. You will set your own password for accessing the Woodlawn Online Services and shall be solely and strictly liable for everything that occurs through the use of Your Account. You are responsible for maintaining the confidentiality of your password and agree to accept responsibility for all activities that occur under Your Account or password. You agree to immediately notify Woodlawn of any unauthorized use of your password or Your Account, or any other breach of security of which you become aware.
User Representations
You represent and warrant that you are at least eighteen (18) years of age and that you possess the legal right and ability to enter into these Terms of Use and to use the Woodlawn Online Services in accordance with these Terms of Use. You agree to be financially responsible for your use of the Woodlawn Online Services (as well as for use of Your Account by others, including minors living with you) and to comply with your responsibilities and obligations as stated in these Terms of Use.
Updates to Your Devices
Please note that if you are using downloadable applications from Woodlawn, updates to your device’s systems or firmware may render your use of the applications incompatible. Woodlawn does not warrant that the Woodlawn Online Services will be compatible with any updates to, or prior versions of, your devices. Woodlawn may, but is not obligated to, provide you with updates to the Woodlawn Online Services or applications that improve compatibility with updated mobile devices.
Data Charges
To the extent that your use of the Woodlawn Online Services or any Woodlawn application requires, or permits utilization of, wireless, cellular data or internet access, you are independently responsible for securing the necessary data access service. For example, with respect to your mobile devices, the provider of your data plans may charge you data access fees in connection with your use of the Woodlawn Online Services and Woodlawn applications. You are solely responsible for all such charges payable to third parties.
Applicable Law
These Terms of Use shall be governed in all respects by and construed in accordance with the laws of the State of Indiana, without regard to its conflicts of law principles. You hereby consent to the exclusive jurisdiction of the state and federal courts located in or near Fulton County, Indiana, with respect to any action arising in connection with the Woodlawn Online Services.
Termination
Woodlawn may terminate your access to any part or all of the Woodlawn Online Services at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever, including without limitation, providing us with false or misleading registration information, inference with other users of the Woodlawn Online Services, failure to pay any required fees, or violation of these Terms of Use.

Where required, Woodlawn may give notice to you by a general posting on the Woodlawn Online Services, by electronic mail, or by conventional mail to your address of record.
